These Terms and Conditions govern your use of the Zyphrr website www.zyphrr.com and the digital services we provide, including but not limited to web development, graphic design, video editing, and social media management (collectively, the "Services").
By accessing our website or engaging our Services, you agree to be bound by these Terms.
2. Services and Projects
Scope: All services will be outlined in a separate project proposal or service agreement ("Project Brief"). The terms in that Project Brief will supersede these general terms where applicable.
Client Responsibilities: You agree to provide all necessary content, images, logos, and feedback in a timely manner to enable us to complete the project.
Revisions: Each project includes a specified number of revision rounds. Additional revisions may incur extra charges.
3. Intellectual Property
Client Materials: You confirm that any materials you provide to us are owned by you or you have the right to use them.
Final Deliverables: Upon full and final payment, intellectual property rights for the final delivered work (e.g., website code, final logo design, edited video) will be transferred to you.
Our Rights: We retain the right to display all completed work in our portfolio, marketing materials, and on our website unless a separate Non-Disclosure Agreement (NDA) is in place.
4. Payments and Fees
Pricing: Pricing for our services is customized based on your specific needs. You will receive a detailed project brief via email with exact pricing after we discuss your project requirements.
Payment Schedule: A non-refundable deposit (10 - 20% of the total price) is often required to begin work. The remaining balance is due as per the payment schedule in the Project Brief (e.g., upon project completion, or in milestones).
Late Payments: Projects will be put on hold if payments are overdue. A late fee may be applied.
5. Confidentiality
We will not disclose any confidential information you share with us to any third party, except as required to complete the project (e.g., using a third-party hosting service) or as required by law.
6. Limitation of Liability
To the fullest extent permitted by law, Zyphrr shall not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use our Services.
7. Termination
Either party may terminate a project by providing written notice. Upon termination, you will be invoiced for all work completed up to the termination date.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India.
9. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date.
